D-GATE / INFORMATION
Commercial Terms
These Commercial Terms set out the basic conditions for the scope of work, payment, delivery, additional work, corrections, cancellations, and related matters for services provided by D-GATE.
If a quotation, order, or other written agreement for a specific project contains different terms, the individually agreed terms for that project will take priority.
Scope, Quotations, Delivery, and Additional Work
D-GATE services are primarily intended for business and professional customers.
Before paid work begins, each project will define the subject of the work, the work to be performed or reviewed, the materials and information to be used, the deliverables, exclusions, price, and the expected delivery date or working period.
Depending on the project, deliverables may include PDFs or other digital documents, research reports, structured data, Excel or CSV files, or other agreed digital formats.
A free scope check or preliminary review is intended only to determine whether D-GATE can handle the request, what work may be required, and what information is needed for a quotation.
A free scope check does not include a completed technical deliverable, a final research answer, or fully corrected data.
Quoted prices apply only to the scope agreed before work begins.
If additional questions, additional products, additional vehicles or specifications, additional pages, additional data rows, new source materials, specification changes, additional delivery formats, or other work outside the agreed scope becomes necessary after work begins, that work will be quoted separately.
Additional work will be carried out only after the additional scope and charges have been agreed.
If translation, licensing, third-party inquiries, paid data, or other external costs are required, D-GATE will normally explain the requirement and cost in advance and obtain approval before using them.
Delivery times may be affected by the agreed scope, receipt of required materials, customer responses, and responses from manufacturers, sellers, or other third parties.
If information required to continue the work is missing, D-GATE may pause the work and the delivery schedule until the required information is received.
Payment
Paid D-GATE services require 100% payment in advance.
Work begins after payment has been received, the scope has been agreed, and the materials and information required to perform the work have been received.
Applicable taxes, approved external costs, and any other project-specific charges will be shown in the quotation or invoice where applicable.
Fees charged by the customer's bank, card issuer, payment provider, or other payment service are subject to the terms of the selected payment method.
Unless otherwise stated, international pricing is based on U.S. dollars.
Unless otherwise stated, quotations are valid for 14 days from the date of issue.
A — Product Manuals, Installation Instructions and Technical Illustrations
Fees for product manuals, installation instructions, assembly instructions, technical illustrations, and related production work are payable 100% in advance.
Work begins after payment has been received, the production scope has been agreed, and the materials required for production have been received.
The quoted price covers only the agreed number of pages, writing work, use of photographs or diagrams, technical illustrations, layout work, delivery formats, and other items specifically included in the agreed scope.
If additional pages, specification changes, additional text, additional illustrations, additional product or specification variants, replacement source materials, translation, or other additional work becomes necessary after production begins, that work will be quoted separately.
D-GATE may provide review files or drafts during production. Review files are not final deliverables.
Final PDFs and other agreed deliverables will be supplied after completion of the agreed production scope.
Editable source files, including Illustrator or other working files, are supplied only when they are specifically included in the quotation or order.
Product specifications, installation methods, fitment conditions, safety information, required warnings, regulatory compliance, and other product-specific technical information are generally produced from materials provided by the customer and other information agreed for the project.
D-GATE will not guess or silently fill in unverified technical information and present it as confirmed information.
Where information is missing, unclear, or conflicting, D-GATE may return it as a question or item requiring confirmation.
The customer is responsible for reviewing product specifications, installation methods, safety information, and other product-specific technical content before final delivery.
Clear errors caused by D-GATE's own production work, including transcription, writing, illustration placement, layout, or failure to correctly apply agreed instructions, will be corrected without additional charge.
Changes caused by revised specifications, newly discovered information, errors or omissions in customer-provided materials, new customer requests, or other matters outside the originally agreed scope will be treated as additional work.
Work involving safety-critical systems, including brakes, critical steering systems, airbags, high-voltage propulsion systems, major fuel or power-control systems, critical driver-assistance systems, or critical structural components, is outside the standard service scope and will only be considered where D-GATE has specifically agreed to review the project.
B — Japan Parts Research
Japan Parts Research fees are payable 100% in advance.
Research begins after payment has been received, the research subject and question have been agreed, and the required vehicle, part, and supporting information has been received.
The research fee is payment for performing the agreed research work within the agreed scope.
It does not guarantee that a specific part number will always be identified, that a desired part will always be found, that inventory will exist, that the part can be purchased, or that final vehicle fitment or a repair result will be achieved.
Depending on the project, the research result may include confirmed information, candidate part numbers, superseded or replacement part numbers, sources reviewed, conflicting information, unresolved information, missing conditions, and recommended next checks.
Where sufficient evidence cannot be found, D-GATE will not force a conclusion. The report will explain what could be confirmed and what uncertainty remains.
A valid research result may therefore include a candidate identification, a finding that additional information is required, conflicting evidence, or a finding that no sufficiently reliable source could be confirmed within the agreed scope.
If a different vehicle, different part, different specification, additional part number, new question, additional source material, or other separate research issue is added after research begins, it may require a separate quotation.
Incorrect or incomplete VIN, frame number, model code, model year, grade, specification, part information, or other customer-provided information may affect the research result.
If additional information is required, D-GATE may request it and pause the research until the necessary information is received.
Clear errors made by D-GATE in reading source material, transcription, recording a part number, or other research processing will be rechecked or corrected without additional charge.
Changes to manufacturer information, seller information, inventory, prices, availability, published sources, or other external information after the research date are generally not treated as errors in the original research.
D-GATE does not provide a final fitment guarantee for overseas-specification or modified vehicles, fault diagnosis, repair guarantees, installation approval, safety certification, or legal certification.
Final decisions regarding purchase, fitment, installation, safety, and compliance with local regulations remain the customer's responsibility.
Part purchasing, proxy purchasing, international shipping, and other purchasing support are not included in the standard research fee.
If these services are requested after research, D-GATE will review the product, seller, value, destination, and other relevant conditions. Where D-GATE can handle the request, a separate quotation and applicable terms will be provided before purchase.
C — Japanese Automotive Product Data Verification and Organization
Fees for Japanese automotive product-data research, verification, and organization are payable 100% in advance.
Work begins after payment has been received, the review scope has been agreed, and the data and materials required for the review have been received.
The quoted price applies only to the agreed data volume, fields to be reviewed, vehicles or products, research requirements, delivery format, and other items included in the agreed scope.
If additional data rows, additional fields, additional products or vehicles, additional markets, new research conditions, new source materials, or other expansion of the agreed scope becomes necessary after work begins, that work will be quoted separately.
D-GATE may review Japanese catalogs, manufacturer information, part information, and other agreed Japan-side sources and compare them with the customer's existing product data.
Findings are organized based on the sources available and agreed for the project at the time of the review.
The result may identify confirmed information, conflicts between sources, missing conditions, and information that could not be confirmed.
Depending on the project, review results may be classified using the following statuses:
Confirmed
Information supported by the sources reviewed.
Conflict Found
A conflict exists between the customer's current data and the reviewed source, or between multiple reviewed sources.
Missing Conditions
Information required to make a reliable determination is missing, such as model code, model year, grade, left/right position, front/rear position, engine, or another relevant condition.
Unable to Confirm
Sufficient evidence could not be established within the agreed research scope and sources.
D-GATE does not guarantee that every row or every field will result in confirmed information.
Clear errors caused by D-GATE's own transcription, data processing, or application of agreed information will be corrected without additional charge.
If source information changes after delivery, new materials become available, customer data is modified, or new conditions or review fields are added, the resulting work may require a new scope and quotation.
Incorrect or incomplete source data, product information, fitment information, or other materials provided by the customer may affect the review result.
Where additional documents or conditions are required, D-GATE may pause the work until the necessary information is received.
D-GATE does not guarantee final fitment for overseas-specification vehicles, physical vehicle inspection, legal or safety certification, unlimited research beyond the agreed scope, or other matters not included in the quotation.
Final decisions regarding publication, overseas-market fitment, product listing, sale, and other business use remain the customer's responsibility.
Cancellations and Refunds
If the customer cancels before work begins, fees for work that has not been performed will be refunded.
Any external cost that has already been incurred and cannot reasonably be cancelled or recovered may be deducted from the refund.
If the customer cancels after work has begun, fees corresponding to work already performed and non-recoverable external costs are not refundable.
Where a clearly identifiable portion of the agreed work has not yet been performed, D-GATE will review the work completed up to that point and settle the unperformed portion accordingly.
If D-GATE is unable, for reasons attributable to D-GATE, to perform all or part of the agreed work, D-GATE will generally refund the amount corresponding to the unperformed portion.
For research services, a result stating that information could not be confirmed, that sources conflict, or that additional information is required does not by itself constitute non-performance where the agreed research was properly carried out.
Sources, Customer-Provided Materials, and Third-Party Information
The customer must have the authority to allow D-GATE to use any documents, images, data, or other materials supplied for the agreed work.
Where D-GATE uses manufacturer information, seller information, catalogs, websites, public documents, or other third-party materials, ownership and other rights in those materials remain with their respective rights holders.
D-GATE's research, review, reference to, or quotation from third-party materials does not transfer to the customer any general right to reproduce, resell, or freely reuse the original third-party material.
D-GATE does not guarantee matters outside its reasonable control, including the permanent accuracy, completeness, continued availability, future modification, or future updating of third-party information.
Confidential Information
Non-public materials and information provided by the customer will generally be used only for the agreed work.
D-GATE will not disclose such information to third parties except where reasonably necessary to perform the agreed work.
This does not prevent disclosure where required by applicable law, a court, or another competent authority, or where an external service approved or reasonably required for performance of the work is used.
Deliverables and Rights
Rights in the customer's original data, text, images, and other customer-owned materials remain with the customer.
After full payment, the customer may use the deliverables supplied by D-GATE for the customer's ordinary internal and commercial business purposes.
Rights in third-party materials, images, data, and other content remain with the relevant rights holders.
D-GATE retains rights in its pre-existing general research methods, workflows, know-how, templates, production methods, and other reusable methods or materials.
Editable source files, production templates, working files, and similar materials are not included in the deliverables unless they are expressly included in the quotation or order.
The customer is responsible for keeping appropriate copies of delivered files. D-GATE does not guarantee indefinite storage of working files or delivered data.
Corrections
Clear errors caused by D-GATE's own production, research, transcription, or data processing will be corrected or rechecked within a reasonable scope without additional charge.
Changes arising from customer specification changes, new requests, newly supplied information, changes to third-party information, previously undisclosed conditions, or other matters that are not clear errors in D-GATE's work may be treated as additional work.
Limitation of Responsibility
D-GATE will perform the agreed production, research, and organization work with reasonable care within the agreed scope.
D-GATE does not guarantee matters outside its direct control, including the permanent accuracy of third-party information, future changes, inventory, purchasing availability, final fitment for overseas-specification vehicles, installation results, repair results, safety certification, legal certification, sales performance, or similar outcomes.
The customer remains responsible for final decisions concerning product specifications, fitment, purchase, installation, safety, publication, sale, and compliance with applicable laws and regulations.
To the extent permitted by applicable law, D-GATE's total monetary liability arising from or relating to an individual project will generally not exceed the total service fees actually received by D-GATE for the project giving rise to the claim.
To the extent permitted by applicable law, D-GATE will not be liable for lost profits, lost business opportunities, indirect damages, special damages, incidental damages, consequential damages, or similar losses.
Nothing in these Commercial Terms excludes or limits liability where exclusion or limitation is prohibited by applicable law.
Force Majeure and External Delays
If work or delivery is delayed by circumstances outside D-GATE's reasonable control, including natural disasters, communication failures, service outages, laws or governmental measures, suspension of third-party services, or delayed responses from manufacturers, sellers, or other third parties, the delivery schedule or work plan may be adjusted as reasonably necessary.
